Executive Summary & Supply Framework

Byekey manufactures and supplies gate operators factory direct to installers, distributors and project buyers. Every order is confirmed in writing, and the clauses below set out what that confirmation covers — specifications, payment, delivery, warranty and liability.

  • Quotations in writing Every price is issued as a written quotation, valid for 30 days from the date on it
  • Payment terms 50% deposit to start production, balance before shipment, in USD or RMB
  • Incoterms available EXW Shenzhen, FOB Shenzhen, and CIF or DDP to your port on request
  • Warranty 24 months from shipment covering motors, gearboxes and control electronics

These terms set out the commercial framework between Shenzhen Byekey Automation and the business buyer who orders gate operators, accessories or spare parts from us. They are written for trade between companies, not for consumer purchases, and they are deliberately specific about the things that cause disputes in this industry: what a quotation covers, when risk and title pass, what the warranty includes, and what it does not.

1. Scope and How These Terms Apply

These terms apply to every quotation we issue and every order we accept from a business, distributor, contractor or project buyer, unless a signed supply agreement between us says otherwise. Where a written purchase order from you contains different terms, our written order confirmation governs; by paying a deposit or accepting delivery you accept these terms for that order. Nothing in this page creates a distributorship, an exclusive territory, or an agency relationship, and neither party is the other’s agent.

Three documents decide almost every commercial question on an order: the written quotation, the order confirmation, and the packing list. Everything below exists to make those three unambiguous.

2. Products, Specifications and Site Information

The catalogue, datasheets, parameter tables and downloads on this website describe our products as configured at the time of publication: operating voltage, duty cycle, opening force, cycle speed, maximum leaf width or gate weight, and the accessories that fit. Those figures come from our own test conditions. A gate installed on site is never identical to the test rig — wind load, slope, hinge friction, leaf material and usage frequency all change the result — so we size for your stated conditions and confirm the selection in the quotation rather than relying on the brochure alone.

We improve our products continuously. A change in a component, a finish, a label or a packing method that does not reduce the performance stated in your confirmation is not a breach of the order. Photographs and dimension drawings are representative; for a critical fit, ask us to confirm dimensions in writing before you build the pillar or the rail.

3. Quotations, Prices and Validity

Every price we give is a written quotation, issued as a PDF or an email that carries the model, quantity, configuration, unit price, currency, the stated Incoterm, the lead time and a validity date. A quotation is an offer we stand behind for 30 days from its date. After that the underlying inputs — motor, gearbox, control board, steel, freight and exchange rate — may have moved, and we will reissue rather than silently hold an old number.

Prices exclude duties, taxes, customs clearance charges and port fees at the destination unless the quotation says otherwise. Where a quotation was prepared from information you gave us (gate weight, leaf width, voltage, cycle count) and that information later proves different, we requote before production starts. No variation of a quotation is binding unless it comes from us in writing.

4. Orders and When a Contract Exists

An order becomes a contract when we send a written order confirmation that states the models, quantities, agreed price, configuration and lead time. Verbal or chat-only assurances do not amend it. Before that confirmation you may change or withdraw the order without charge; after it, the goods are being built to your specification and the cancellation rules in section 6 apply.

Minimum order quantities exist on some configurations — for instance private tooling, custom firmware, a non-standard voltage or a printed enclosure. Any applicable MOQ is stated in the quotation. If we cannot accept an order, we say so in writing and refund anything already paid.

5. Payment

The standard schedule for a first order is a 50% deposit to start production and the balance before shipment, settled in USD or RMB to the bank account named in our order confirmation. We confirm by email when the funds have cleared; production and packing slots are reserved from that confirmation. Wire charges are borne by the sending side, and we quote on the basis that we receive the full invoice amount in net funds.

For repeat buyers we can agree other schedules — monthly settlement, a credit limit after a defined trading history, or payment against documents — and those go into the written agreement, not into a chat message. Goods remain our property until the invoice is paid in full. If an invoice is overdue we may pause production, hold goods awaiting shipment, and charge nothing at all for the inconvenience of chasing it — we simply ask you to talk to us before the due date passes.

6. Lead Time, Production and Changes

Lead time runs from the later of cleared deposit and a confirmed specification, and the number we give is the number our line works to. Standard models are typically ready faster than custom-configured or OEM-branded units. If something on our side pushes a date — a component shortage, a certification hold, a port closure — we tell you as soon as we know, with a revised date and the options: wait, split the shipment, or take a substitute you approve.

You may change quantity, configuration or shipping marks without cost up to the point the goods enter final assembly or packing. After that, changes are made where physically possible and priced at the actual cost of rework, scrapped parts and lost line time, which we show you before we act. Cancellation after production starts is settled against the work in progress at that date, with completed units remaining yours on payment of their share.

7. Packaging, Shipping, Risk and Title

Export packing is our standard: plywood cases or palletised cartons designed for the mode you chose, with desiccant, foam separation and outer markings. We ship EXW Shenzhen or FOB Shenzhen as standard, and can quote CIF or DDP to your port or door on request. The Incoterm stated in the confirmation defines who pays freight, insurance and customs, and it is also the point at which risk of loss passes to you — that is the sentence that matters if a container is damaged at sea.

Title passes when the invoice is paid in full. We prepare and send the shipping documents that your clearance needs — commercial invoice, packing list, bill of lading or airway bill, and the certificates the quotation promised. Where a destination requires a specific document form and we were told in time, we provide it; a requirement raised after the vessel has sailed is a change order.

8. Inspection and Claims on Arrival

Check the consignment against the packing list while the carrier or their agent is present where that is practical, and photograph the case condition before opening. Visible case damage, a short count or a wrong model must be reported within 7 days of arrival, with photographs and the container or waybill number. Damage in transit is claimed against the carrier or the underwriter, and we cooperate fully with the paperwork; a claim we cannot evidence is a claim nobody can settle.

Defects that only show up once the unit is installed and cycled are handled as warranty matters under section 9 rather than as arrival claims. If a unit is confirmed non-conforming, we remedy it by repair, replacement, spare parts at our cost, or credit — our choice, informed by what is fastest for your site.

9. Warranty

Our warranty runs 24 months from the date of shipment and covers the motor, the gearbox and transmission, the control board and electronics, and the mechanical housing against failure caused by materials or workmanship. Within that period a confirmed failed part is replaced free of charge, shipped with your next order or sent on its own, and we cover the return freight of the failed unit when replacement is faster for you than diagnosis.

The warranty does not cover: damage from installation that does not follow the manual, supply voltage outside the rated range, lightning and surge events, water or dust ingress into an enclosure that was left open or unsealed, a gate that is out of balance or heavier than the model rating, unauthorised repair or modification, normal-wear items such as remote-control housings, racks, gears and limit components under heavy duty cycle, and cosmetic fading. It also does not extend to the gate structure, the masonry, the wiring between the mains and our unit, or any third-party accessory fitted alongside ours.

Warranty support is diagnosis-first. Send us the model and serial, a short description, and a video of the fault — most problems resolve on a call with our technician and a part sent the same week. Our remote support line is available through the working hours stated on the contact page, and this warranty does not affect statutory rights that cannot be excluded.

10. Liability and What We Do Not Cover

Our total liability for an order, however it arises, is limited to the contract price of the goods affected by the claim. We are not liable for lost profits, lost revenue, downtime on a customer’s site, cost of a third party’s labour, or any indirect or consequential loss arising from a delayed or defective delivery. This limitation does not apply where the law in force does not allow it, and nothing here excludes liability for death or personal injury caused by our negligence, or for fraud.

You are responsible for site suitability: correct supply voltage and earthing, structural condition of the gate, compliance with local rules on safety edges, photocells and manual release, and installation by competent people. Products intended for use where regulations require specific certification must be checked against that requirement before order — we will tell you which certificates a given model carries, and the decision on fitness for your jurisdiction is yours.

11. Intellectual Property, Branding and Confidentiality

Our names, models, drawings, firmware, datasheets and the images on this site belong to us. You may use the material we send for evaluating, installing, selling and supporting the goods you bought, and for training your own staff. You may not resell the datasheets as a product, republish them as your own engineering, or remove our marking from a unit that is not covered by an OEM agreement.

OEM and ODM work — your brand on our enclosure, your colour, your firmware behaviour, your packaging — runs under a separate written OEM agreement that defines artwork approval, tooling ownership, minimum volumes and how long either side is committed. Anything you send us in confidence for that purpose is kept inside our team on a need-to-know basis and is not shared with another customer.

12. General Provisions

Force majeure. Neither side is in breach for a delay caused by an event outside its reasonable control — an earthquake, flood or fire, a port or customs closure, a war or sanctions measure, a general component shortage, or a government health order. The affected party gives notice promptly and the timetable extends for the duration plus a reasonable recovery window.

Assignment and notices. Neither party assigns the contract without the other’s written consent. Notices are valid by email to the addresses named in the order confirmation; we treat our sales address and your purchasing contact as the notice addresses of record.

Severability and entire agreement. If one clause is unenforceable, the rest of the terms continue and the affected clause is replaced by the closest enforceable version of the same intent. These terms plus the order confirmation are the entire agreement for that order and supersede earlier discussion.

Governing law and disputes. These terms are governed by the laws of the People’s Republic of China, excluding its conflict-of-law rules and the CISG unless the confirmation states otherwise. The parties first try to resolve a dispute by good-faith negotiation between their authorised representatives; if that fails within 30 days, the dispute goes to the Shenzhen Court of International Arbitration for arbitration in that city under its rules then in force, and the award is final and binding on both sides.

Version. Terms version 2.0 — effective 1 October 2026. We revise these terms when our products, delivery models or applicable rules change, and the version published at the date of your order confirmation is the version that applies to that order. The related privacy handling is described in our Privacy Policy.
